NDA in Pakistan: What a Good Non-Disclosure Agreement Includes
An NDA is only as good as its wording. A vague one is hard to enforce. Check that yours covers the following.
Clear definition of confidential information. Say exactly what is protected: business plans, client lists, source code, pricing, designs.
Who is bound. Name the parties properly, including company name and CNIC or registration details.
Permitted use. The information may be used only for the stated purpose, such as evaluating a deal or doing a project.
Duration. State how long the duty lasts, including after the relationship ends.
Exceptions. Information already public, or independently developed, is normally excluded.
Return or destruction. What happens to the information when the project finishes.
Governing law and disputes. For Pakistan-based parties, state the governing law and how disputes will be resolved.
